1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your use of TecAI, an artificial intelligence chat service operated by Tec-Dynamics LTD. By accessing or using TecAI ("the Service"), you agree to be bound by these Terms.

2. Description of Service

TecAI provides an artificial intelligence chat platform that allows users to interact with AI models for various purposes including:

• Text-based conversations and assistance
• Image generation and analysis
• Code assistance and development support
• Content creation and translation
• General information and research
• Personalised AI interactions with memory features

3. Licence and Use Rights

Subject to these Terms, we grant you a non-transferable, non-exclusive licence to use TecAI for your personal or internal business operations. You may NOT:

• Modify, reverse-engineer, or decompile the Service
• Resell, sublicense, or redistribute access to the Service
• Use the Service to develop competing products
• Remove any proprietary notices or labels
• Use automated tools to access the Service without permission

4. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate and complete information during registration
• Maintain the security and confidentiality of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorised use
• Not share your account with others

5. Acceptable Use Policy

You agree NOT to use the Service to:

• Generate illegal, harmful, threatening, or offensive content
• Harass, abuse, defame, or harm others
• Violate any applicable laws or regulations
• Infringe intellectual property rights of third parties
• Distribute malware, viruses, or engage in hacking activities
• Attempt to circumvent usage limits or security measures
• Generate content that exploits or harms minors
• Create deepfakes or misleading content for malicious purposes
• Use AI outputs for fraud, impersonation, or deception

6. Subscription and Payments

6.1 Billing

• Subscription fees are billed in advance on a monthly or yearly basis
• Invoices are due within 10 days of issue
• Subscriptions automatically renew unless cancelled before the renewal date
• We may change pricing with 30 days' notice

6.2 Late Payments

Late payments may incur:

• Interest at 4% above the Bank of England base rate
• Administrative fees of up to £40 per month
• Service suspension after 30 days past due

6.3 Refunds

• Subscription refunds are available within 7 days if no significant usage has occurred
• Third-party services (API credits, add-ons) are non-refundable once activated
• Refund requests should be sent to [email protected]

7. AI-Generated Content

You acknowledge and agree that:

• AI responses may not always be accurate, complete, or up-to-date
• You should independently verify important information
• AI-generated content should NOT be used as a substitute for professional advice (legal, medical, financial, etc.)
• You are solely responsible for how you use AI-generated content
• AI may occasionally produce unexpected or inappropriate outputs
• We do not guarantee the suitability of AI outputs for any specific purpose

7.1 Content Ownership

• Content you input remains your property
• AI-generated outputs based on your inputs are licensed to you for use
• We retain rights to use anonymised data for service improvement
• Pre-existing AI models and systems remain our intellectual property

8. Intellectual Property

The Service, including its software, design, logos, and documentation, is owned by Tec-Dynamics LTD and protected by UK and international intellectual property laws.

Upon full payment, intellectual property rights in bespoke deliverables (custom integrations, specialised outputs) transfer to you, excluding:

• Pre-existing materials and AI models
• Third-party components and libraries
• General methodologies and techniques

9. Data Protection

We process your data in accordance with:

• UK General Data Protection Regulation (UK GDPR)
• Data Protection Act 2018
• Our Privacy Policy (available at tec-ai.co.uk/privacy)

Tec-Dynamics LTD acts as the data controller for user data and data processor for content you process through the Service.

10. Service Availability

• We aim for 99.5% uptime but do not guarantee uninterrupted service
• Scheduled maintenance will be communicated in advance where possible
• We reserve the right to modify or discontinue features with notice
• Third-party service availability may affect our Service

11. Limitation of Liability

To the maximum extent permitted by law:

• TecAI and Tec-Dynamics LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for losses caused by AI inaccuracies, third-party services, or factors beyond our control

Nothing in these Terms excludes or limits liability for death, personal injury, fraud, or any liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify and hold harmless Tec-Dynamics LTD, its directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your infringement of third-party rights
• Content you create or distribute using the Service

13. Termination and Suspension

13.1 By You

You may cancel your subscription at any time through your account settings or by contacting us.

13.2 By Us

• We may suspend services immediately for non-payment exceeding 30 days
• We may terminate accounts for serious Terms violations without notice
• We may terminate with 30 days' notice for any other reason

13.3 Effect of Termination

• Your right to use the Service ends immediately
• We may delete your data after 30 days (unless legally required to retain)
• Outstanding payments remain due
• Sections on liability, indemnification, and governing law survive termination

14. Changes to Terms

We may modify these Terms at any time. We will:

• Notify users of significant changes via email or Service notification
• Post the updated Terms on our website
• Update the "Last Updated" date

Continued use of the Service after changes constitutes acceptance of the new Terms.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England shall have exclusive jurisdiction over any disputes arising from these Terms or your use of the Service.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Tec-Dynamics LTD
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not waive that right
• Assignment: You may not assign your rights without our consent
• Force Majeure: We are not liable for delays caused by events beyond our control
